Nicholas Dessypris, Partner, Head of Banking & Finance, M&A, and Energy at our law firm participated as a speaker in the two-day Legal Courses organized by ELSA Komotini on April 29–30.
In the first session, Nicholas Dessypris introduced the topic of mergers and acquisitions (M&A), with a focus on their practical application in the Greek market.

The lecture covered the full deal lifecycle: from target identification and selection, through the signing of an MoU and exclusivity arrangements, to legal due diligence and the management of a Virtual Data Room (VDR). It then turned to the Share Purchase Agreement (SPA) and its core risk-allocation mechanisms: representations and warranties, indemnities, liability caps, and conditions precedent and furthermore covered competition law and merger control issues. was wrapped up with four key takeaways: (i) deal structure matters, (ii) legal due diligence is essential, (iii) the SPA is a risk allocation tool, and (iv) regulatory risk is real and can block or delay a transaction.
Nicholas Dessypris shared valuable insights from his professional experience with the participants and then engaged in a Q&A session with students and young legal professionals who attended.
